Disclosures/Conflicts of Interest

You acknowledge and agree that:

  • The Services and Materials are based on historical data, which may not indicate future trends or performance.
  • Allocation Strategy Ltd. does not guarantee the accuracy or completeness of the Services or Materials.
  • You bear full responsibility for the use of the Services and Materials, including any decisions or actions taken based on them.
  • Allocation Strategy Ltd. may provide similar services to other clients and enter into similar arrangements with them while you are using the Services.

Proprietary Information

You may use the Services and Materials solely for your internal informational and research purposes. Allocation Strategy Ltd. grants you a non-exclusive, non-transferable license to use the Materials for these purposes only.

You may not:

  • Copy, distribute, or make available the Materials to third parties without written consent from Allocation Strategy Ltd.
  • Sell, lease, or license the Services to any third party.
  • Reverse engineer or use the Services to develop similar products or services.

The Services and Materials are the property of Allocation Strategy Ltd., and you do not have any rights or interests in the intellectual property, including copyright or trademarks associated with the Services or Materials.

Upon termination of the Services, all Proprietary Information provided by Allocation Strategy Ltd., including copies, must be returned or destroyed upon request, except as required by law or internal policy.

Limitation of Liability; Indemnification

Allocation Strategy Ltd. is not acting as an advisor or fiduciary for you or your accounts. The Services do not constitute investment advice.

Allocation Strategy Ltd. will not be liable for any inaccuracies or errors in the Services or Materials, or for any decisions made based on their use.

You agree to indemnify and hold Allocation Strategy Ltd. harmless from any claims arising from your use of the Services or Materials.

Neither Party will be liable for indirect, incidental, or consequential damages, such as lost profits or revenue, arising out of or related to the Services, except in cases of gross negligence or wilful misconduct.

Use of Data

Allocation Strategy Ltd. may share any data provided by or collected from you ("Client Data") with its Affiliates or third-party service providers, only to the extent necessary to provide the Services or for Allocation Strategy Ltd.’s internal business purposes.

Notice

All notices required under these Terms of Use will be deemed given when personally delivered, sent by certified mail, or via overnight courier, to the addresses provided in any applicable Service Agreement or as otherwise notified by a Party.

Amendment and Waiver

Allocation Strategy Ltd. may update these Terms of Use at any time by providing 60 days' prior written notice. Continued use of the Services after the notice period will constitute agreement to the updated terms.

Assignment

These Terms of Use are binding on the Parties and their successors and assigns. Neither Party may assign their rights or obligations under this agreement without the written consent of the other Party, except that Allocation Strategy Ltd. may delegate services to its Affiliates without affecting liability.

Severability

If any provision of these Terms of Use is determined to be invalid or unenforceable, the remaining provisions shall remain in effect.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of England.

Termination

In the absence of a Service Agreement, Allocation Strategy Ltd. may terminate your access to the Services at any time, for any reason. Upon termination:

  • Your right to use the Services and Materials will cease immediately
  • You must stop using and copying any proprietary information
  • Any outstanding fees must still be paid.

Provisions relating to intellectual property, confidentiality, liability, and data use will survive the termination of the Services.
